Vendor Agreement
This Vendor Agreement (“Agreement”) explains how revenue, discounts, and promotions work when you sell through Eden (“Eden,” “we,” “us,” or the “Platform”).
By listing or selling products on Eden, you agree to this Agreement.
1. Revenue Splits
- 1.1 - How Revenue Is SharedEden is a multi-vendor marketplace. When a product sells, the revenue is shared between Eden, the Vendor (“you”), and in some cases a promoter or affiliate.
All revenue splits are calculated before payout and after any refunds, cancellations, or chargebacks. - 1.2 - Payment Processing FeesMarketplace customer payments are processed through Eden Checkout using Stripe (and related processors Eden may use). Designers may still connect their own Shopify store via Eden’s apps for catalog sync and order operations; that does not mean buyers check out on Shopify.
- Payment processors charge fees under their own terms (e.g. Stripe)
- Processor fees and platform-collected sales tax are handled by Eden before vendor payouts
- Eden does not control or set third-party payment processor fee schedules
- 1.3 - Revenue Split Scenarios(A) Standard Sale (No Discount, No Promo Code)
- Vendor: 85%
- Eden: 15%
- Payment Processor: Deducted per Stripe / Eden Checkout
(B) Sale With Discount (No Promo Code)- Vendor: 80 - 85%
- Eden: 15%
- Payment Processor: Deducted per Stripe / Eden Checkout
(C) Sale With Discount + Promotional Code- Vendor: 75-80%
- Promoter / Affiliate: ~7.5%
- Eden: ~7.5%
- Payment Processor: Deducted per Stripe / Eden Checkout
- 1.4 - Flexibility & UpdatesAs Eden grows, we may adjust our pricing structures. If we make any changes that affect vendor earnings, we'll notify you ahead of time.
- 1.5 - Sales Tax (Eden Marketplace)
On orders placed through Eden Checkout, Eden calculates, collects, and remits applicable sales/use tax where Eden is registered to collect (for example, as a marketplace facilitator). Tax is determined using the customer’s delivery address and Eden’s tax registrations.
- Collected sales tax is retained by Eden and is not part of the vendor revenue split or Stripe Connect payout
- Vendors are not responsible for remitting sales tax to governments for those Eden-facilitated marketplace sales
- Vendors remain responsible for their own income taxes and for taxes on sales made outside Eden
This is not tax advice. Eden’s remittance obligations and filing frequency are set by each tax authority after registration.
2. Discounts & Promotions
- 2.1 - Platform DiscountsEden may create platform-wide discount codes up to 10% without needing vendor approval.
These discounts:- Apply equally across the marketplace
- Are used to drive traffic and sales
- Are never targeted at individual vendors
- 2.2 - Brand ProtectionTo protect brand value:
- Eden will not create vendor-specific discount codes
- Eden will not imply that a vendor is “discounting” unless agreed
- 2.3 - Discounts over 10%Eden may propose special promotions above 10%:
- Discounts over 10% require vendor approval
- Vendor participation is optional
- Approval may be given via written confirmation (email, SMS, etc.)
